Cleavro ERP Service Agreement

GDPR Compliance Service Agreement for Use of Cleavro ERP Platform

This Agreement is made between Cleavro (“Provider”) and [Customer Name] (“Customer”) and governs Customer’s use of Provider’s ERP platform (“Platform”) to ensure compliance with the EU General Data Protection Regulation (GDPR).

Data Processing

Liability

Provider accepts liability, and will indemnify Customer, in the event Provider’s breach of this Agreement leads to a GDPR violation that results in penalties, fines or reputational harm to Customer.

Termination

Upon termination of Customer’s use of the Platform, Provider will delete or return all personal data to Customer and remove it from Provider’s systems, as requested by Customer.

Governing Law

This Agreement shall be governed by the laws and regulations of the European Union and relevant Member State law.

Payment Terms

Payment for Cleavro ERP services shall be made monthly or yearly in advance via credit card, ACH transfer, wire transfer or invoice.

  • Credit card payments will be automatically charged at the beginning of each billing period.
  • ACH transfers initiated on the 1st business day of each billing period.
  • Wire transfers due within 30 days of invoice date.
  • Invoices issued on the 1st business day of each billing period, with standard net 30 terms.

Non-payment of invoices after 60 days may result in suspension of account until balance is paid.

Billing and Cancellation

The initial subscription term is one month from the date of sign-up. Plans will auto-renew for successive monthly terms unless cancelled by Customer at least 7 days prior to renewal date. Customer may cancel their account or change plans at any time through the Platform’s account management interface.

Payment will be charged automatically at the start of each term via credit card or ACH payment details on file, or invoiced with standard net-30 terms if that option is selected. Non-payment of invoices after 60 days may result in account suspension.

Service Availability and Support

Provider commits to 99% scheduled uptime of the Platform outside of maintenance windows. Any downtime will be communicated at least 24 hours in advance. Provider will provide ongoing support through in-app chat and email during regular business hours. Enterprise plan includes telephone support 24/7.

Data Management

All Customer data inputted into the Platform is regularly backed up to redundant cloud storage. Backups are encrypted and available for restore in case of incidents. Upon request, Provider will export Customer’s data from the Platform after account termination.

Confidentiality

Provider will not access or disclose any Customer data except where necessary to maintain the Platform or provide support, or as required by law. Customer retains ownership of all data.
